Visa Cashback Program Terms and Conditions

Visa Cashback is a discount program (the "Program") offered by Visa International Service Association or those affiliated entities that have issued a license and Visa membership to the respective Issuer ("Visa" or "we") to any natural person (the "Cardholder" or "you") that holds a Visa Credit Card, Visa Debit Card, or Visa Prepaid Card (individually, an "Eligible Visa Card" or "Card") issued by an Issuer in the Territory, which Visa accepts for enrollment in the Program. Visa Business Cards do not qualify for participation in the Program.

These terms and conditions (the "Terms and Conditions") apply to the Cardholder by virtue of participating in the Program. By participating in the Program, the Cardholder agrees to be bound by these Terms and Conditions. Cardholders who may take advantage of Cashback Offers (as defined below) will be those who have individually registered for the Program or who have been registered by their Issuer to participate in the Program.

Under the Program, Cardholders will receive discounts in the form of Cashback (individually a "Cashback Offer") from merchants ("Merchant"), participating in the Program each time the participating Cardholder uses an Eligible Card that is enrolled in the Program to make a purchase that meets the terms and conditions of an active discount offer, such Transactions being processed or remitted through Visa's payment system (individually, an "Eligible Purchase," as described in more detail below). These Terms and Conditions shall be governed by and interpreted in accordance with the l aws of the State of California, without prejudice to local conflict of law provisions. The Cardholder agrees that any dispute arising out of or relating to these Terms and Conditions and/or the Program shall be resolved exclusively in the state and federal courts located in San Francisco County, California.

Program Changes
Visa has the right to modify, restrict, limit, or change the Program in any way at any time. Changes may include, but are not limited to, changes in Participating Merchants; changes in specific details, requirements or qualifications of a Cashback Offer; addition or removal of Cashback Offers, changes in the duration of any Cashback Offers and changes to these Terms and Conditions. We will notify the Cardholder of material changes to the Program, and/or these Terms and Conditions through a notice provided on the Program Website at https://cashback-caribbean.visa.com/ (the "Program Website"). The Cardholder (you) should review the Program Website from time to time to determine if such changes have taken place. We also reserve the right to suspend or terminate the Program at any time. We also reserve the right to suspend or terminate without notice any Cardholder's enrollment in the Program, including without limitation, in cases where we believe that the Cardholder is abusing or misusing the Program. Unless otherwise required by applicable law, Merchants may without notice suspend or terminate the Cardholder's ability to qualify for a discount offered by that Merchant.

Eligibility
Cardholders holding an Eligible Card and who are in good standing with respect to their obligations are eligible to apply for enrollment in the Program. We reserve the right to determine at our sole discretion whether the Cardholder is eligible to enroll in the Program.

Enrollment
In order to participate in the Program, you must agree to these Terms and Conditions. By creating a Program profile and checking the applicable acceptance box or upon your enrollment in the Program by the Issuer, you represent that you wish to enroll an Eligible Card in the Program and that you have read and agree to these Terms and Conditions and the Visa Privacy Notice which can be consulted at: (https://www.visa.com.mx/legal/privacy-policy.html).
To register Eligible Cards in the Program, the Cardholder must follow the instructions on the Program Website. There is no cost to the Cardholder for registering an Eligible Card in the Program, or for using the Eligible Cards to participate in the Program.
When enrolling in the Program on the Program Website, the Cardholder will be required to provide an email address and select a password, which is required to access the Program Website. In the enrollment process, the Cardholder must also provide certain personal information as indicated by the Website. The Cardholder will receive a confirmation message at the time of enrollment. It is the Cardholder's responsibility to safeguard and protect passwords and the confidentiality of any and all transactions conducted on the Program Website using his/her associated email address and/or password.
To register Eligible Cards in the Program, the Cardholder must follow the instructions indicated on the Program Website, where the Cardholder will be asked to provide the 16-digit Card number, which will be collected and stored directly by Visa and used only to identify the Eligible Purchases and execute the respective Cashback transactions.
In the event the Issuer has registered you for the Program, you will receive an email to the email address provided by your Issuer indicating your registration and inviting you to create your profile and password on the Program Website. Using this password, you will enjoy access to the Program Website and the Program's e-commerce Cashback Offers

Eligible Purchase
EThe enrolled Cardholder will receive a discount in the form of Cashback from the Merchant only on purchases that fully comply with the terms of the applicable Cashback Offer, as described on the Program Website (the "Eligible Purchases"), and which are transacted using the Cardholder's Eligible Registered Card. Transactions that are not processed or sent through Visa's payment system do not constitute Eligible Purchases. We reserve the right to determine at our sole discretion whether a Visa Cardholder's Eligible Card transaction qualifies as an Eligible Purchase

Discount Offers
Each Cashback Offer will be subject to additional specific terms and conditions. These terms and conditions may relate to matters such as the cashback level associated with the specific Cashback Offer, the expiry date of the Cashback Offer, minimum purchase requirements and/or other limitations or restrictions associated with the Cashback Offer. You cannot qualify for a Cashback Offer when a Cashback Offer is withdrawn from the Program. Participating Merchants may offer discounts on purchases of goods or services at their physical locations or on their websites. The details, terms and conditions applicable to the Cashback Offer in question are set by Visa and the Merchant at our respective, sole discretion. Please consult the Program Website for additional terms and conditions pertaining to the Cashback Offer and other relevant information of the Program.

Cashback Offers may be subject to availability. Additionally, Cashback Offers are subject to any applicable laws or regulations that may restrict or prohibit certain sales, including, but not limited to, the sale of goods and services in certain restricted categories. Cardholders and the respective Merchant are each responsible for compliance with all laws relating to the Cashback Offer, including the payment and collection of any federal, state or local taxes.

Statement Credits
Once an Eligible Card is registered in the Program, the cashback received by the Cardholder derived from an Eligible Purchase will automatically be credited to the account of the respective participating Eligible Card. The Cashback Offer credit will not appear on the receipt at the Merchant's point of sale or website. The crediting of a Cashback Offer for each Qualifying Purchase will be reflected on the relevant Eligible Card statement and will appear in the Eligible Card statement issued after the Eligible Purchase is made. At Visa's sole discretion, a credit derived from the Cashback Offer may be reversed to cover price adjustments or countercharges associated with returns of products or services acquired under the auspices of an Eligible Purchase. Credit reversal of a Cashback Offer will appear in a future Eligible Card statement.

You will not be eligible to receive any type of Cashback Offer and/or statement credits as long as your Eligible Card account is not current with respect to your payment obligations. Any purchases made by the Cardholder under such conditions will not be considered an Eligible Purchase and will make you ineligible to participate in the Program.

Communications with Program Cardholders
The Program Website will present information regarding current Cashback Offers. Using the Program Website, we may notify you by email, postings on the Program Website, mobile-based communications (such as SMS messages, if you opted in for such mobile notifications). All electronic communications we make to you will be deemed "written" communications and duly delivered on the date received or after five days from the date of posting or dissemination, whichever comes first.

When you register an Eligible Card in the Program, you agree to notify us of any change of the Cardholder's email address(es), which can be performed by updating the Cardholder's Program profile on the Program Website. If you wish to keep a copy of these Terms and Conditions, you are free to make a printout.

You may choose to receive promotional information about the Program, other promotional information from Visa, or information regarding enrollment in the Program by email simply by indicating your wish in your Cardholder's profile on the Program website. If you choose to receive such promotional information, we may occasionally send you promotional emails containing selected Cashback Offers, or other Visa-related offers, to the respective email address(es) that you have provided. If at any time you wish to stop receiving these promotional notifications, please use the unsubscribe link or address included in each promotional email.

Additionally, if available, you may choose to receive mobile communications (such as SMS messages) regarding your Program account, other promotional messages and/or information regarding Program enrollment simply by indicating your wish in the Cardholder's Program profile. While mobile messaging features are not yet available, we plan to offer them in the future. If or when these become available, we will send mobile phone messages (related to the Program and/or of a promotional nature, depending on what you have selected) directly to the mobile phone number(s) you have provided. To receive these mobile communications, you must at your own expense have a fully operational mobile phone capable of sending and receiving text messages. Each text message sent and received in connection with this feature will be subject to standard text messaging rates. Please contact your wireless provider for details of your pricing plan. If at any time you wish to stop or modify these mobile communications, please visit the Program Website to update your Cardholder's Program profile and/or follow the unsubscribe information contained in each mobile phone message (if any). Please note that we require sufficient time to process such requests.

Cancellation of participation in the Program
You may cancel your participation in the Program at any time simply by: (i) visiting the Program Website, if you have already created a profile on the Program Website, or (ii) contacting Visa by telephone at the Customer Service telephone number, if you have not yet created a profile on the Program Website. In the latter case, the service rep will ask you to provide your associated email address. In the event of returns and/or countercharges associated with Eligible Purchase made with an enrolled Eligible Card., cashback credits appearing in statements may be reversed at Visa's discretion after the Cardholder's disenrollment in the Program. When the Cardholder cancels the Card registered to the Program, the Card will also be automatically removed from the Program.

Lost, stolen, or damaged cards
In the event of loss, theft, or damage to a Card registered in the Program, please call the Issuer to request a replacement Card. Please note that the replacement Card may have a different Card number. Even if a registered Visa Card is lost or damaged, you may not qualify for Cashback Offers. If the new replacement Card is issued with a different Card number by the Issuer, you will be required to register the replacement Visa Card on the Program Website, and you should be aware that the card Issuer may or may not redirect Cashback Offers received from Visa to the new Card number. Eligible Purchases made through unauthorized transaction using a Card or Card number that has been lost or stolen will not qualify for discounts under the Program.

Disclaimers and Limitations
Visa is not responsible for products or services purchased through Eligible Purchases. You may be subject to additional terms and conditions, warranties or other requirements of the Merchant, the product manufacturer or service provider. Visa hereby disclaims all representations or warranties, whether express or implied, including, without limitation, those regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise, with respect to the Program, the Cashback Offers, and any goods or services sold by Merchants in connection with the Program.

Under no circumstances shall Visa, its affiliates, or any of their respective directors, officers, employees, agents, or subcontractors (collectively, the "Visa Parties") incur any contractual or tortious liability, strict liability or obligation whatsoever for any loss of profits, loss of revenue or loss of business opportunity; nor shall they be subject to exemplary, punitive, special, incidental, indirect, or consequential damages, and each such type or class of liability is hereby expressly excluded by agreement of the parties, regardless of whether such damages were foreseeable or whether any party or any entity has been advised of the possibility of such damages. The Visa Parties are not responsible for any injury, damage or loss to person or property, or for any expenses, accidents or inconvenience that may arise from your participation in the Program or use of products or services purchased as Eligible Purchases.

The Visa Parties are not responsible for any errors, breakdowns or problems of any kind, whether human or mechanical in origin, or with regard to letterpress printing, network or electronic issues insofar as these are related to this Program, including, without limitation, any errors, breakdowns or problems that may occur in connection with the administration of the Program, the processing of Eligible Purchases and/or discounts, or the submission of Cashback Offers. Individuals found to be tampering with or abusing any aspect of the Program, as determined solely by Visa, will be removed from the Program and all Eligible Purchases and/or associated discounts will be canceled and voided.

Cardholder agrees to indemnify the Visa Parties, holding them harmless, free and clear of any and all damages, losses, liabilities, and expenses resulting from or arising out of Cardholder's enrollment and participation in the Program, including, but not limited to, any damages related to the use of products and services purchased through Eligible Purchases.

By enrolling in the Program or by being enrolled in the Program by the Issuer, the Cardholder releases the Visa Parties from any claims, liabilities or damages related to the Program or the use of any Cashback Offers. The Program, and/or any Cashback Offers under the Program, are void where prohibited by applicable law. Notwithstanding any legal provision that stands contrary to these Terms and Conditions, Visa and all service providers to the Program shall incur no liability before the Cardholder or any Cardholder in connection with the Program.

Privacy
All information of the Cardholder collected with respect to the use of the Program Website is subject to Visa.com's Privacy Policy, which can be consulted at https://www.visa.com.mx/legal/global-privacy-notice.html.

Visa uses a third party (the “Program Administrator”) to administer the Program Website and the customer service call center. This third party has access to the Cardholder's profile information, but not to information about the registered Eligible Cards.

Visa may share aggregate information on ineligible cards applying for registration in the Program with the Issuers of such cards, provided the information shared does not individually identify any Cardholder. As part of the Program, transaction information will be shared among the Program Administrator, Merchants, Issuers, and Visa (and/or their respective service providers) for the purpose of processing your credits in account statements and generally to ensure the Program is available to you. Similarly, certain information about your browsing history (clickstream activity) and additional transaction information may be shared between the Merchant and Visa on an aggregate basis (which does not in itself allow the cardholder to be individually identified).

Definitions
"Issuer" is the Member who enters a contractual relationship with a Cardholder for the issuance of one or more Card products.

"Member" is a client of Visa U.S.A., Visa International Service Association, Visa Worldwide, Visa Europe Limited or Visa International Servicios de Pago España, S.R.L.U. or a client who is a participant in a Services Agreement with Visa Canada. The requirements for membership are defined in the Visa Bylaws Documents.

"Card" is a payment card, digital application, or other device or solution that provides access to a payment credential and that can perform a Transaction, and which is issued by an Issuer and may bear one of Visa's proprietary logos.

"Visa Credit Card" is a Card issued with the Visa logo that is linked to an open, secured or unsecured credit account, including revolving balance or non-revolving balance accounts, or commercial, business and consumer debit or credit accounts, or a credit account or its equivalent as defined under applicable laws or regulations. An account shall not be considered a credit account if the credit is the result of an incidental credit extension such as an overdraft or minimum balance protection or similar services.

"Visa Debit Card" is a Card issued with the Visa logo that is linked to a demand deposit account, checking account, current account, negotiable withdrawal order account or savings account held at a financial institution, or to a debit account or its equivalent as defined under applicable laws or regulations.

"Visa Prepaid Card" is a Card linked to a reloadable or non-reloadable pre-paid account, or to a prepaid account or its equivalent as defined under applicable laws or regulations.

"Business Visa Card" is a Card issued to employees or sole proprietors of small businesses to pay for their employees' business travel and overhead expenses.

"Cardholder" is the person to whom a Card is issued.

"Transaction" is any use of a Card to make a payment or exchange value between a Cardholder (or an Issuer) and a Merchant.
